Summary

Merck KGaA, Darmstadt, Germany agreed to pay $20.00 cash for each US-traded share of Silence Therapeutics, a London drug developer. Those shares closed at $8.68 the trading day before, so holders are offered a 130% premium.1 The strange part: Disc Medicine had great news and still chose to raise money. Its final-stage trial worked, and the same day it announced a plan to sell $350M of new stock and share rights, even though in July it said its cash would last into 2029.2 Silence holders are offered 130% over the Oct 16 close, while QIAGEN's 40.3% premium is measured from an older price, the €33.15 close of July 8, the last day before reports of buyout interest. Disc holders keep the trial win but end up with a smaller slice: the sale equals about 11.5% of the company's value.3 By end-2026, Disc plans to reapply to the FDA for bitopertin. An FDA decision is expected by mid-2027, which is when holders learn whether the drug the $350M raise is meant to launch gets approved.4

Health care had a busier week than any other industry. 94 companies had notable news, in 142 filings and releases. Industrials came next with 63. Across all industries, 347 companies had notable news.

Most of it was drug trials and approvals. 59 companies had trial or approval news, in 82 filings and releases. Every one of those 82 was good news for the people who own the shares. Think trials that worked, like Disc's, and drugs that won approval, like GSK's.

Disc Medicine ($IRON) treats blood diseases. Its drug bitopertin is for EPP, a disorder that makes sunlight painful.1 The FDA had already sent a CRL, a 'not yet' letter. In a 183-patient Phase 3 (final big trial), the drug cut a blood marker called PPIX 41.4% versus a placebo (dummy pill).2 By month 6 it had also added 12.2 pain-free hours in light. The bad part: 50% of patients on the drug got dizzy, versus 11% on placebo.3 The stock went from $56.84 at the Oct 16 close to $78.95 on Oct 19. Disc plans to reapply by end-2026 and expects an FDA decision by mid-2027.4

Veradermics ($MANE) makes a hair-loss pill, a slow-release form of minoxidil. In a 536-man Phase 3, men gained 28.6 hairs/cm² on the once-daily dose and 36.4 on twice daily, versus 6.6 on placebo, at Month 6.1 There were no heart side effects of special interest. An April trial showed much the same, so this confirms more than it surprises.2 Bear read: 9.0% had hair overgrowth on the twice-daily dose. Longer, 12-month data from the April trial is due later this year.3

Roivant ($ROIV) tested brepocitinib in uveitis, an eye inflammation. In both Phase 3 trials, the typical patient went more than 48 weeks before treatment failed, versus about 12 on placebo.1 Pooled, 62% had calm eyes without steroids at Week 48, versus 20% on placebo. The catch: Roivant's 'most effective' claim rests on other drugs' trials, and the drug carries a boxed warning.2 Roivant plans to file for approval in the first half of 2027.3

GSK ($GSK), the UK drugmaker, won US approval for Jemperli in a type of rectal cancer on 19 Oct. On 20 October 2026 it won approval for Hibsago, a hepatitis B drug.1 In trials, 19% of patients reached a functional cure, versus 0 of 614 on placebo. Hibsago carries a boxed warning for liver flares and sudden low platelets, so patients need weekly blood checks.2

Ionis ($IONS) licensed Hibsago to GSK. It can earn 10-12% royalties (a cut of sales), plus milestone payments it has not sized.1 The same week, Roche showed that sefaxersen, a kidney drug it licensed from Ionis, cut protein in the urine 43.1% versus placebo at 37 weeks. Bear read: urine protein stands in for kidney health, and the real kidney test comes at week 105.2

Arcus ($RCUS) reported cancer growth held off for a median 14.5 months in 43 kidney cancer patients on its drug plus another. Arcus itself warns this early result may not repeat in its bigger trial.1 Enrollment in that trial should finish by year-end 2026. Arbutus ($ABUS) said the FDA lifted a hold on its hepatitis B pill AB-101, but it named no trial, date or cost.2

Deals came next. 9 companies had deal news, and 10 of their 16 filings and releases were good news for holders. Two companies, Silence and QIAGEN, agreed to be bought for cash. Abbott plans to split off its Nutrition unit, and Telix has a merger heading to a vote.

Silence ($SLN) makes siRNA drugs, which switch genes off. It agreed to sell to Merck KGaA, Darmstadt, Germany for $20.00 cash per ADS (US-traded share), about $1.3B in all.1 About $0.2B of that price is Silence's own net cash. Bull read: holders are offered a 130% premium in cash.2 Bear read: 75% of the vote must approve, and only 14% has pledged so far. A UK court and antitrust officials must also sign off.3 Closing is expected Q1 2027, so nothing is paid yet.4

QIAGEN ($QGEN) makes DNA test tools. It agreed to a cash buyout offer led by EQT, a private buyer, at €46.50 a share, about €10.8bn enterprise value (price including debt).1 That is a 40.3% premium to the €33.15 close on July 8, the last day before reports of buyout interest. So the premium is not measured from recent prices.2 The deal needs 50% plus one share tendered, a shareholder vote and government clearances. Closing is expected mid-2027.3

Abbott ($ABT) plans to spin off its Nutrition unit (Similac, Ensure) as its own company. That unit has about $8.5B of yearly sales, about 17% of Abbott's ~$50.5B, leaving Abbott with ~$42B.1 Holders would get Nutrition shares, intended to be tax-free. The two companies' dividends together are expected to equal Abbott's.2 Bear read: one-time costs are not yet sized, and the split, due by end-2027, is not assured.3

Telix ($TLX) sells prostate cancer scan kits. Its Q3 revenue slipped 1% from Q2, to US$245M from US$247M, though it rose 19% from a year earlier.1 Telix blames summer and says it is tracking toward the upper end of US$950M to US$970M for the year. Its ITM merger terms list US$1.65B upfront, US$1.25B in shares, and up to US$700M tied to milestones.2 The share part is ~1/3 of Telix's Oct 20 market value of about $3.78B.3

6 companies had news about selling new shares or notes (company IOUs). Two show what that looks like.1 Disc plans to sell $350M of stock and pre-funded warrants, announced the same day its trial worked. Alpha Teknova priced 8M new shares at $5.00, about 32% below the $7.39 close.2

Disc is selling $350M of stock and pre-funded warrants (prepaid share rights). That is about 11.5% of its ~$3.03B value, and about 49% of the $717.7M cash it had at June 30.1 Underwriters can buy $52.5M more. In July, Disc said its cash would last into 2029.2 Bull read: the money goes to a potential bitopertin launch and to research. Bear read: holders get diluted (more shares, smaller slices) before the FDA has said yes.3 The sale price is not yet set.4

Alpha Teknova ($TKNO) makes lab supplies. It priced 8M new shares at $5.00, about 32% below the $7.39 close.1 The $40M raised is 2.4x the $16.6M of cash it estimated it had. The sale adds ~15% to its 53.7M shares, and some of the money may repay debt.2 Underwriters can buy 1.2M more shares. There is a 90-day lock-up (a no-selling period).3

Fri, Nov 20: we find out if $XLV closes above $179.27.

December 1, 2026 (AEDT): Telix holders are expected to vote on the ITM merger.

Dec 9, 2026: Roivant holds its investor day.

End-2026: Disc plans to reapply to the FDA for bitopertin.

Year-end 2026: Arcus expects enrollment in its bigger kidney cancer trial to finish.

Q1 2027: the Silence sale is expected to close, if 75% vote yes.

Later this year: Veradermics reports 12-month data from its April trial.

Mid-2027: QIAGEN's buyout is expected to close, and an FDA decision on Disc's drug is expected.

What is still unknown

The price of Disc's stock sale is not yet set, so holders don't know how deep the dilution goes.

Silence needs a 75% vote and has only 14% pledged. Nobody knows yet if the rest will vote yes.

Abbott has not sized the one-time costs of splitting off Nutrition.

Ionis has not said how big its Hibsago and sefaxersen milestone payments are, or its sefaxersen royalty rates.

Arbutus gave no trial, date or cost for AB-101.

Arcus warns its early kidney cancer result may not repeat in its bigger trial.

Disc plans to raise money for a launch before the FDA says yes. Will the FDA approve bitopertin the second time, even with dizziness at 50% on the drug?

The question that remains
