Summary
Sales beat Vertiv's own third-quarter range of $3,650 million to $3,850 million. Adjusted earnings per share rose 78% to $2.21, and orders excluding acquisitions more than doubled.1 The new fourth-quarter range, $4,313 million to $4,513 million, starts exactly at third-quarter sales; its midpoint is only about 2% higher, though Vertiv calls it 50% organic growth.2 Full-year adjusted earnings per share guidance rose to $7.10 to $7.20, from $6.65 to $6.75.3 Inventories more than doubled since December to $3,288.4 million, and the cash-flow guide, though raised $200 million to $2,600 million to $2,800 million, leaves only about $370 million to $570 million of adjusted free cash flow for the fourth quarter.4 Against that, the adjusted operating margin hit 25.2%, and Vertiv held about $783 million of net cash before paying about $1.45 billion for UtilityInnovation.5 From its October 26 close of $199.81, the stock was 21.3% higher at $242.45 in pre-market trading at 8:13 a.m. Eastern on October 28, a span that also covers October 27, when Vertiv closed the UtilityInnovation deal; the S&P 500 fund rose 0.8% over the same span. The fourth-quarter report early next year tests the guide.6

Vertiv, based in Westerville, Ohio, does business in more than 130 countries. It sells the gear that surrounds the computer chips in a data center: power conversion and distribution, liquid cooling, racks and monitoring. Its annual report says a substantial portion of the business depends on continued growth in customers' data centers.1 It reports three regions: the Americas, Asia Pacific, and Europe, the Middle East and Africa. Rivals include Schneider Electric and Eaton, and the annual report names CoreWeave and Nebius as examples of a newer group of artificial intelligence cloud customers. One listed risk is local moratoria that limit where data centers can be built.2
Vertiv ended 2025 with an estimated order backlog of $15.0 billion, up from $7.2 billion a year earlier. Most of it is expected to ship within 12 to 18 months, but orders may be canceled or rescheduled by the customer. Fourth-quarter 2025 sales were $2,880 million, and operating profit was $580 million.
The second quarter set up this report. Sales of $3,274 million rose 24%, and Vertiv said revenue reflected minor timing shifts from supply chain congestion and multi-phased projects. Pomerantz, a plaintiff law firm investigating possible securities-fraud claims after the miss (it reports no lawsuit filed), says the stock fell 17.26% on July 29, 2026, closing at $223.04.1 Vertiv then guided third-quarter sales of $3,650 million to $3,850 million and full-year sales of $13,800 million to $14,200 million. An older securities class action against Vertiv, filed in May 2022, is still waiting on a ruling on the motion to dismiss.2

Vertiv refinanced this year, issuing $2,100.0 million of unsecured notes and repaying its term loan on March 3, 2026. Its subsidiary agreed on September 1, 2026 to buy UtilityInnovation Group, which designs microgrids, power controls and behind-the-meter power systems for data centers. The price is about $1.45 billion in cash upfront plus up to $1.15 billion more.1 Vertiv announced on October 27, 2026 that it had completed that purchase, one day after it completed a small purchase of King Environmental Services, whose terms it called not material. Separately, the board declared a quarterly dividend of $0.0625 a share on September 2, 2026.2
The shares slid into the report. Vertiv closed at $253.84 on September 22, 2026 and at $199.81 on October 26, 2026, a drop of about 21%. Over the same days Eaton fell about 16% and GE Vernova about 10%, so the slide was not Vertiv's alone.
What the quarter shows, and what the outlook really adds

Third-quarter sales were $4,312.8 million, against $2,675.8 million a year earlier. Organic growth, which strips out acquisitions and currency, was 55%, and acquisitions added about 6%. Of the $1,637.0 million of growth, $156.9 million came from acquired businesses.1 The Americas carried the quarter, with sales up 74.5%, or 66.2% organic. Europe, the Middle East and Africa grew 22.8% in the quarter, but its organic sales are still down 3.3% so far this year.2 At the October 26 close, Vertiv's roughly 385 million shares were worth about $76.9 billion, or about 5.3 times the $14,650 million full-year sales midpoint.3
The outlook raise is smaller than it looks. In July, the full-year sales midpoint was $14,000 million. First-half sales were $5,923.8 million.1 The third-quarter range was $3,650 million to $3,850 million. That left about $4,326 million for the fourth quarter.2 The new full-year midpoint is $14,650 million, and the new fourth-quarter midpoint is $4,413 million. The full-year raise was $650 million.3 About $563 million of it is the third quarter beating its old midpoint, and only about $87 million is new fourth-quarter sales.4
Earnings per share follow the same pattern. The full-year adjusted midpoint rose $0.45, to $7.15, while the third quarter alone beat its old $1.80 midpoint by $0.41. The new fourth-quarter range of $2.22 to $2.28 compares with about $2.20 implied by the old outlook.

There is a fair reading on the other side. Vertiv says the $4,413 million midpoint means 50% organic growth over last year's fourth quarter, and against $2,880 million of fourth-quarter 2025 sales it is about 53% higher on a reported basis. Some of the third-quarter jump may be second-quarter sales that slipped, since Vertiv blamed timing shifts in July.1 If so, a fourth quarter that merely holds at the third quarter's $4,312.8 million would still be far above the $2,880 million of a year earlier.2
Reported profit is close to the adjusted figure, and most of the gap is not cash. Operating profit under standard accounting was $983.8 million, against $1,086.9 million adjusted, a gap of about $103 million. Of that, $34.1 million was contingent consideration, the change in what Vertiv expects to owe sellers of businesses it bought, and $3.7 million was deal costs.1 The remaining $65.3 million covers amortization of acquired intangible assets and restructuring, which the adjusted figure also leaves out. Net income was $764.5 million, against $398.5 million a year earlier, and adjusted net income was $867.6 million. Income tax rose to $230.3 million from $93.7 million, so the profit jump is not a tax benefit.2 The fourth-quarter guide puts reported operating profit at $1,073.6 million, about $64 million under the $1,138 million adjusted midpoint, so any new earnout charge would come on top. Vertiv may still owe up to $250.0 million more for PurgeRite, an earlier purchase, and that bill depends on the unit's 2026 results.3

Cash flow tells a more mixed story. From January through September, operating cash flow was $2,660.6 million, well above net income of $1,652.4 million. The main reason is customer prepayments: deferred revenue, cash received before Vertiv delivers, added $2,312.9 million.1 Inventories absorbed $1,814.9 million over that span, and $766.9 million in the third quarter alone. Receivables used another $631.9 million in the quarter. Overall, working capital used $138.3 million in the third quarter but added $540.5 million so far this year.2 Third-quarter adjusted free cash flow, roughly operating cash after capital spending, was $652.2 million, up from $436.0 million and about 60% of adjusted operating profit. The full-year guide of $2,600 million to $2,800 million, less the $2,230.3 million already generated, leaves about $370 million to $570 million for the fourth quarter.3
The balance sheet is strong for now. On September 30, cash was $3,512.9 million and short-term investments $198.8 million, against long-term debt of $2,925.1 million and $3.4 million due within a year. That is net cash of about $783 million, and Vertiv says it keeps a net cash position with liquidity of $6.2 billion.1 The debt includes $850.0 million of 4.125% secured notes due 2028 and $2,100.0 million of unsecured notes, including $600.0 million at 4.850% due 2036. The unsecured notes rank behind debt of Vertiv's subsidiaries and behind secured debt. The revolving credit line, a standby loan Vertiv can draw, has $2,500.0 million of commitments, and its leverage covenant caps the ratio at 4.00 to 1.00.2 Vertiv was in compliance with that covenant on June 30, 2026. The UtilityInnovation price is not in the September numbers, and Vertiv said it would pay from existing resources. About $1.45 billion of cash out turns the net cash into roughly $667 million of net debt before fourth-quarter cash flow.3 That is about 0.25 times the roughly $2.6 billion of reported operating profit over the last four quarters, far under the covenant cap. Third-quarter net interest cost was only $6.4 million.4

Both sides of that deal matter for the next two years. Vertiv paid about $1.45 billion upfront, subject to adjustments for working capital, debt and deal expenses, and may pay up to $1.15 billion more in cash in two tranches if earned. Those payments depend on the acquired business's earnings in a first period ending September 30, 2027 and a combined period ending September 30, 2028.1 Each tranche pays nothing if earnings fall below 50% of its target, and the earnings measured exclude UIG's storm-restoration and UtilityInfrastructure lines. In return Vertiv gets microgrid controls, onsite power orchestration and behind-the-meter design, which it says extend it upstream to the grid connection.2 Vertiv puts the upfront price at about 13 times the business's expected 2027 earnings before interest, taxes, depreciation and amortization, and says that multiple falls if the full earnout is paid, because the earnout is paid only if earnings targets are met. It expects the deal to add to adjusted earnings per share in its first year.3 The protections are limited. Vertiv's remedy for breaches of the sellers' promises is a claim on an insurance policy, and a $25 million escrow backs the price adjustment. Founder Sidney Hinton runs the business through the earnout.4
Shareholders face little dilution. The third-quarter diluted count adds 7.7 million potential shares from equity awards to 385.0 million basic shares, about 2% more. Vertiv had no preferred stock outstanding at its last annual report.1 The $0.0625 quarterly dividend cost $24.0 million in the third quarter, a small slice of the $652.2 million of adjusted free cash flow. BlackRock reported a 6.8% stake on September 30, 2026, held as a passive investor.2

At $242.45 before the open, the stock traded at about 34 times the $7.15 adjusted earnings-per-share midpoint for 2026 and about 39 times the $6.29 reported midpoint. The market value at that price is about $93.4 billion. The jump won back most of the slide since September 22, 2026, but not the $253.84 close of that day.
The bull case, at its strongest: organic orders more than doubled from a year earlier while sales grew 61%, so bookings are growing faster than shipments, though the release gives no dollar figure for either orders or backlog.1 Margins are rising, with the adjusted operating margin up 290 basis points to 25.2% and a fourth-quarter guide of 25.3% to 26.3%.2 Customers have prepaid $4,120.5 million.3 A sales guide that starts at the third quarter's level leaves room for another beat.4
The bear case, ranked by weight. First, the raise is mostly the third-quarter beat, and the fourth-quarter sales midpoint is only about 2% above the third quarter.1 Second, cash lags profit: inventories more than doubled since the end of 2025, and even after a $200 million raise the full-year guide implies fourth-quarter adjusted free cash flow of about $370 million to $570 million, below the third quarter's $652.2 million.2 Third, at about 34 times this year's adjusted earnings, the price assumes growth runs well past 2026. Fourth, Vertiv itself lists the risk that customers cancel orders or that backlog does not turn into sales, and earnout charges from past deals keep hitting reported profit. Europe, the Middle East and Africa is still down organically for the year.3
Cash lags profit
Source: Vertiv Form 8-K, Exhibit 99.1: third quarter 2026 results release, filed October 28, 2026
Vertiv's own goals for 2026, which are targets and not results, are adjusted operating profit of $3,475 million to $3,555 million, an adjusted operating margin of 23.5% to 24.5%, and capital spending near 4.0% of revenue.1 It does reconcile the profit guide, putting full-year reported operating profit at $3,135.4 million against the $3,515.0 million adjusted midpoint, but says it cannot reconcile the margin, organic growth, earnings-growth and free-cash-flow guides without unreasonable effort.2
The dated tests come quickly. Management holds its call on October 28 and speaks at a Baird conference on November 10, 2026. The fourth-quarter report should come early next year; last year's fourth-quarter call was on February 11.1 The cautious reading is wrong if fourth-quarter sales land well above $4,513 million, the top of the range. The bulls are wrong if sales miss the $4,313 million low end, which would mean no growth over the third quarter, or if adjusted free cash flow misses the $2,600 million full-year floor. The first UtilityInnovation earnout period ends September 30, 2027.2
What is still unknown
The release gives the growth rate of organic orders, more than 100%, but no dollar amount for orders or for backlog at September 30, so a reader cannot check how many quarters of sales are already booked.
The call was set for 11 in the morning Eastern time on October 28, and no transcript was in hand when this was written. It is where analysts would ask how much of the third quarter was delayed second-quarter sales and what the fourth-quarter guide assumes.
The closing filings give no revenue or profit for the acquired company in dollars, and the earnings targets for the $1.15 billion earnout sit on a schedule that was not filed. The release also does not say whether the new fourth-quarter outlook includes the acquired business.
The question that remains
Will VRT stock close above $200 on February 16, 2027, after Vertiv's expected fourth-quarter report?
