Summary
The organic floor went to $283 million from $279 million in July, and total guidance with BioCircuit is at least $290 million.1 With $207.0 million booked through September, that floor needs only about $76 million in the fourth quarter. That is flat with the third quarter but about 27% above the roughly $59.9 million of last year's fourth quarter.2 The risk is profit and dilution. General and administrative costs jumped 52%, and holders own a smaller slice after a 26.5% jump in the share count this year.3 At $37.46, the stock is about 12% below the $42.50 price of September's share sale.4 The first test is a prostate webcast on November 9, 2026; the real one is the full-year report, and the report for 2025 was filed on February 24, 2026.5

Axogen makes products that surgeons use to repair damaged nerves, the fibers that carry feeling and movement. Its main product, Avance, is processed donor nerve tissue, and the company calls it the first approved biologic treatment for repairing nerve gaps. Nearly all of its sales are in the United States.1 It also sells Axoguard wraps and caps made by an outside supplier, and it warns that losing the right to sell them could badly hurt the business. Axogen puts its American market at $5.6 billion, with the largest piece, arms and legs, at $2.9 billion; those are its own estimates.2
The main rival is the patient's own nerve, moved from elsewhere in the body, which doctors call an autograft. Axogen expects many surgeons to keep choosing it.1 The FDA approved Avance as a biologic on December 3, 2025, but some uses were approved on a fast track that lasts only if follow-up studies confirm the benefit.2 Commercial insurance plans covering about 96% of commercially insured Americans now pay for Avance, after positive decisions from Elevance and Aetna. Aetna's coverage is narrow, though: short sensory gaps of 30 millimeters or less in the arm.3
Axogen had revenue of $225.2 million in 2025 and started 2026 with $50.0 million of term-loan principal outstanding, carried at $48.4 million on its balance sheet.1 In January it sold 4.6 million shares and paid the loan off. From January through September it repaid $48.6 million of principal and paid $20.5 million of fees to the lender, and it booked a $16.8 million loss on the payoff.2

On September 9 Axogen agreed to buy BioCircuit Technologies, a private Atlanta company, for a base price of $200.0 million in cash. BioCircuit makes NerveTape, which the company calls the first FDA-cleared device for joining cut nerves without stitches.1 BioCircuit's 2025 revenue was about $11 million. Its current annual sales pace is about $24 million, the company says.2 To pay, Axogen sold shares at $42.50 each, below the $47.27 close on September 9. The upsized sale came to 5,646,500 shares and $225 million of net proceeds.3
Divisadero Street Capital Management reported a 6.8% stake on October 2 and says it is a passive holder, not seeking control.1 Before the deal, general counsel Marc Began exercised options and sold 67,500 shares at $47.345, under a trading plan his sale notice dates to 03/11/2026, well before Axogen signed the merger agreement on September 9.2
Faster sales, thinner profit, and a cautious floor
📈Third-quarter revenue rose 26.2% to $75.8 million.
📉Gross margin fell to 74.8% from 76.6%, and GAAP operating income fell to $1.0 million from $1.9 million.
📈Free cash flow was $18.9 million from January through September, against a $5.9 million outflow a year earlier.
⚠️Shares outstanding rose 26.5% this year.

Third-quarter revenue rose 26.2% to $75.8 million, or $15.8 million more than a year earlier. That was faster than the 23.1% growth of the second quarter.1 Axogen credits account productivity, or sales per account, up more than 20% so far this year. Net income was $2.3 million, or $0.04 a share, helped by $1.4 million of investment income on its cash.2
Costs took most of the gain. Gross margin, the share of each sales dollar left after making the product, fell to 74.8% from 76.6% a year earlier.1 It did rise from 72.7% in the second quarter. Then, Axogen blamed a shift toward fast-growing breast procedures, and its quarterly report pointed to higher-cost biologic Avance sold since April.2 General and administrative costs rose 52% to $16.5 million, and the quarter carried $2.0 million of BioCircuit deal and integration costs. Sales and marketing grew a slower 18%, to $30.4 million. So operating income under standard accounting rules, called GAAP, fell to $1.0 million from $1.9 million.3
Axogen also reports adjusted EBITDA, short for earnings before interest, taxes, depreciation and amortization. Its version also adds back stock pay, the BioCircuit costs and the loss on the loan payoff.1 On that basis it earned $13.4 million, against $9.2 million a year earlier. That is about $12.4 million more than GAAP operating income, and the biggest add-back is $8.8 million of stock pay, which costs no cash but gives employees shares.2 The adjusted margin was 17.7%, up from 12.1% in the second quarter.3
Adjusted EBITDA

The cash is real. Free cash flow, which is operating cash minus spending on equipment and patents, was $18.9 million from January through September, against an outflow of $5.9 million a year earlier.1 The first half produced $4.1 million, so about $14.9 million came in the third quarter alone.2
Axogen now expects 2026 revenue of at least $290 million, or 29% growth, including at least $7 million from BioCircuit.1 Without BioCircuit the floor is $283 million, a $4 million raise from $279 million in July. Sales through September were $207.0 million, so the floor needs about $76 million in the fourth quarter, flat with the third.2 Last year's fourth quarter was about $59.9 million: $225.2 million for the year less $165.3 million through September. Meeting only the floor would mean about 27% growth, close to the 26.2% just posted.3
With BioCircuit, the total floor implies about $83 million of fourth-quarter revenue. Axogen's full-year guide counts at least $7 million from BioCircuit.1 That is a bit more than the roughly $6 million it flagged for the fourth quarter on October 1. It expects about $34 million from BioCircuit in 2027.2
Expected BioCircuit revenue

What Axogen gave for BioCircuit: $200 million of the offering money, paid at closing on October 1. The price is still subject to adjustments for cash, debt, deal expenses and working capital, and $1.0 million was held back to cover them.1 What it got: a product line selling at about $24 million a year, with gross margins near 80% and positive EBITDA on its own in the year to May. The price is about 8.3 times that sales pace and about 5.9 times the 2027 revenue Axogen expects from it.2 The sellers' promises about the business ended at closing, so Axogen's remedy for problems is an insurance policy it bought. Axogen says the deal will add to revenue growth, adjusted EBITDA margin and adjusted earnings per share in the first year; it gave no GAAP figure.3
Axogen held $350.1 million of cash, restricted cash and investments at September 30, and it has no debt. That was before the $200 million BioCircuit payment, which leaves roughly $150 million by our math, before price adjustments and fourth-quarter cash flow.1 With no loans, there are no loan covenants to trip, and interest expense was $1 thousand in the quarter, so debt ratios do not apply. Axogen also put $7.0 million into Trace Biosciences, a private biotech, on July 28, 2026.2 In its last quarterly report, management said its cash and sales would fund operations for at least the next year.3
Shareholders paid for the cleanup and the deal in stock. Shares outstanding rose 26.5% this year, to 59,724,524 from 47,199,797, after Axogen issued 10,246,500 new shares that added $358.3 million of equity.1 The diluted share count for the quarter was 61,525,789. As of June 30, 2026, when 53,656,293 shares were outstanding, the September prospectus listed options on 1,560,795 shares and 4,486,211 restricted stock units, 2,237,086 of them performance-based, about 6.0 million shares in all; 412,224 options were exercised in the third quarter.2 The company's shelf filing said it had no convertible securities, and it warns it may sell large amounts of stock at any time.3
At $37.46 on October 27, the stock valued Axogen at about $2.24 billion, or about 7.7 times this year's revenue floor. That is below the 8.3 times sales pace Axogen paid for BioCircuit.1 From $44.93 on September 15, the first day in our price file, the stock fell 15.4% to $38.015 on October 26. The Health Care Select Sector SPDR fund (XLV) rose 6.9% over the same days.2 Our last price, $37.46 at the October 27 close, is down 1.5% from the day before and comes before the morning filing on October 28, so the market's reply to these results is not in our data yet. Our file starts in mid-September, so we cannot give a full-year price range.3

The bull case: growth sped up to 26.2% from 23.1% in the second quarter, the adjusted margin widened, free cash flow turned positive for the year to date, and the organic floor asks for no growth over the third quarter.1 NerveTape adds a high-margin product for the same surgeons, and Axogen expects about $34 million of BioCircuit sales in 2027. Medicare's agency has also proposed higher 2027 payments for core nerve repair.2
The bear case, strongest first. GAAP profit is thin and shrinking: operating income fell to $1.0 million even as revenue rose $15.8 million.1 Gross margin is below last year's, and the full-year guide promises only at least 73%. Holders absorbed a 26.5% rise in shares this year, and the stock now trades below the offering price.2 Avance's fast-track uses still hang on follow-up studies, and many surgeons still prefer autografts. Prostate market development starts in 2027 at a cost Axogen has not given.3
The dated tests come in order. Axogen hosts a prostate webcast at 9:00 a.m. on November 9, 2026, ahead of its 2027 prostate push. The company's own 90-day promise not to sell more shares, counted from the September 10 prospectus, ends in early December.1 The full-year report should follow in late February; last year's came on February 24. Fourth-quarter organic sales below about $76 million, or a full-year gross margin under 73%, would break the bull case.2
What is still unknown
Axogen held its results call at 8:00 a.m. on October 28, but we found no transcript, so management's answers on fourth-quarter trends and margins are not in this report.
The filings do not say how the $200 million will be split between goodwill and other intangible assets, or how much yearly amortization will hit GAAP profit. The final price after adjustments is not given either.
The third-quarter release gives no reason for the drop from 76.6%. In the second quarter Axogen pointed to product mix and higher-cost biologic Avance, but it did not repeat that this time.
General and administrative costs rose 52% to $16.5 million, but the release does not say what drove the rise or which expense line carries the $2.0 million of BioCircuit deal costs; company-wide stock pay rose to $8.8 million from $5.4 million.
Axogen says prostate market development begins in 2027 but gives no budget for it.
Our notes hold no analyst forecast for the third quarter, so we cannot say whether $75.8 million beat Wall Street's number.
Medicare's agency has only proposed the higher 2027 nerve-repair rates; the filings give no date or size for a final rule.
The question that remains
Will AXGN stock close above $36 on November 10, 2026?
